Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “your”), whether acting individually or on behalf of an organization, and Shockwave Digital, LLC, a Minnesota limited liability company doing business as The Order Buddy (“The Order Buddy,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. The Services

The Order Buddy is a software-as-a-service platform designed to help organizations manage fundraising events, including door-to-door and similar sales-based fundraisers. The Services provide tools for order collection, participant tracking, reporting, and administrative management.

The Services are software only. We are not a payment processor, not a bank, not a product vendor, and not a fundraising broker.

1A. Definition of an Event

An Event is a single, organized fundraising campaign run by an organization or group for a defined purpose and time period (often seasonal).

An Event typically represents one coordinated effort with a shared set of products, sellers, and orders, and is intended for a reasonable, manageable group operating under a common organizer or leadership.

Larger organizations, multi-chapter programs, or fundraising efforts that span multiple regions, teams, chapters, or seasons are fully supported. However, such efforts may require multiple Events or a tailored setup to ensure accurate reporting, permissions, and operational integrity. In these cases, organizations are encouraged to contact us to determine the appropriate configuration.

1B. Reasonable Use of Events

Events are intended to represent a reasonable, single fundraising campaign as defined above. Use of the Services in a manner that materially exceeds the expected scope of an Event — including unusually large participant counts, transaction volumes, geographic breadth, or organizational complexity — may require restructuring into multiple Events or a custom configuration.

The Order Buddy reserves the right, in its sole discretion, to determine when usage exceeds reasonable bounds and to require adjustments to ensure platform performance, data integrity, and fair use. Such determinations do not entitle the organization to refunds of event fees already paid.

2. Account Setup and Access

Accounts and organizations may be created or activated by the Company. We reserve the right to approve, deny, suspend, or terminate access to the Services at our discretion.

You are responsible for all activity that occurs under your account and for maintaining the confidentiality of login credentials.

2A. Right to Refuse or Terminate Service

Use of the Services is subject to approval by The Order Buddy. We reserve the right, in our sole discretion, to refuse, suspend, or terminate access to the Services for any organization or user whose activities, fundraising practices, public conduct, or stated mission are inconsistent with our ethical standards, business values, or the intended purpose of the platform.

Such determinations may be made at any time and without obligation to provide detailed justification. Termination or refusal of service does not entitle an organization to refunds of fees already paid.

3. Fees and Payments

We charge a one-time event setup fee of $125 per Event, as defined above, unless otherwise agreed in writing. All event fees are non-refundable.

All electronic payments are processed by Stripe, Inc. (“Stripe”). Funds collected from customers are deposited by Stripe directly into the organization’s designated bank account, net of Stripe’s processing fees and The Order Buddy’s applicable platform fees.

The Order Buddy does not receive, hold, control, or take custody of customer funds and does not deposit gross transaction amounts into organization bank accounts.

Platform commissions are calculated per transaction and are non-refundable, including in cases of refunds, chargebacks, disputes, or product issues.

3A. Fees Summary (Informational)

The following is a non-exhaustive summary of how fees are applied when using the Services. This summary is provided for convenience only and does not replace the detailed terms set forth above.

4. Product Vendors, Fulfillment, and Returns

The Order Buddy does not manufacture, supply, store, ship, inspect, or guarantee any products sold through fundraising events.

Product quality, fulfillment, defects, shortages, delivery delays, and returns are the sole responsibility of the organization running the fundraiser and/or its chosen product vendors or suppliers.

The Order Buddy is not responsible for handling returns, exchanges, refunds, or replacements of products, including defective or damaged items.

5. Order Accuracy and Data Entry

You are solely responsible for the accuracy of all order information entered into the Services, including product selections, quantities, pricing, participant data, and customer information.

The Order Buddy is not responsible for losses, disputes, or errors resulting from incorrect, incomplete, or unauthorized data entry.

5A. User-Entered Data and Operational Reliance

All quantities, counts, totals, pricing, pickup details, schedules, locations, and other operational information displayed or reported through the Services are derived from data entered by users, coordinators, participants, or organizations.

The Order Buddy does not verify, validate, audit, or guarantee the accuracy, completeness, or reasonableness of user-entered data and is not responsible for errors, omissions, exaggerations, or misrepresentations, whether intentional or accidental.

Decisions made or actions taken in reliance on data entered into the Services — including product ordering, inventory commitments, pickup planning, or fulfillment logistics — are undertaken at the organization’s own risk.

5B. Pricing Changes and Order Finality

Pricing, fees, and product details displayed in the Services apply at the time an order is placed.

Changes to pricing or product information affect only orders placed after the change is made and do not retroactively modify existing orders.

Orders that have been paid for or otherwise finalized are considered final and will not be automatically adjusted, repriced, or refunded due to later pricing changes.

6. User Conduct, Auditing, and Monitoring

The Services maintain audit logs and activity records to support platform integrity, troubleshooting, and abuse prevention.

You acknowledge that coordinators, sellers, and other users acting on behalf of an organization may have varying levels of access and authority. You are responsible for managing permissions and oversight.

The Order Buddy is not responsible for unauthorized, unethical, fraudulent, or improper actions taken by users, coordinators, sellers, or volunteers using the Services.

7. Cookies and Session Data

The Services use a secure, HTTP-only session cookie that is strictly necessary to authenticate users and maintain logged-in sessions.

We do not use cookies for advertising or cross-site behavioral tracking.

7A. Data Collection and Privacy

The Order Buddy collects only the minimum information necessary to provide the Services.

User profiles for coordinators, sellers, and organization administrators require an email address and last name. We do not require or collect profile addresses, phone numbers, dates of birth, or age information.

Customer information, including names and delivery or pickup addresses, is entered directly by customers or organizations for the purpose of order fulfillment. Address validation services, including those provided by Google, may be used to improve accuracy.

The Order Buddy does not sell, rent, or disclose user, seller, coordinator, or customer data or behavioral information to third parties for advertising, marketing, or data brokerage purposes.

Data collected through the Services is used solely to support fundraising operations, order management, reporting, and platform functionality.

7B. Communications

The Order Buddy sends only limited, service-related emails necessary to operate the Services.

At this time, such communications are limited to account security functions, including password reset or account recovery messages initiated by the user.

The Order Buddy does not send marketing emails, promotional messages, or unsolicited communications, and does not sell or share email addresses for marketing purposes.

8. Prohibited Uses

8A. Products Sold Through Events

Organizations are solely responsible for ensuring that all products offered for sale through Events are lawful, safe, and appropriate for the manner in which the fundraiser is conducted.

Products must comply with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to consumer safety, labeling, licensing, and age-restriction requirements.

Where Events involve participation by minors, including children under the age of 13, organizations must ensure that products are suitable for lawful sale by minors and do not require special licenses, permits, background checks, or age-restricted handling.

The Order Buddy does not routinely review or approve products offered for sale and does not act as a product regulator or certifying authority.

However, The Order Buddy reserves the right, in its sole discretion, to refuse, suspend, or terminate use of the Services if products offered through an Event are believed to be unlawful, unsafe, misleading, or inconsistent with our ethical standards or the intended use of the platform.

8B. Representation of Fundraising Purpose

Organizations are solely responsible for accurately representing the purpose, beneficiaries, and use of funds raised through Events.

The Order Buddy does not verify or audit how funds are ultimately used and is not responsible for misrepresentation, misuse of funds, or disputes between organizations and donors or customers.

We reserve the right to refuse or terminate service if an Event is believed to misrepresent its purpose or beneficiaries in a manner inconsistent with our ethical standards or the intended use of the platform.

8C. Public Association and Brand Use

Use of the Services does not imply endorsement by The Order Buddy of any organization, Event, product, or cause.

Organizations may not represent or imply that The Order Buddy endorses, sponsors, or is otherwise affiliated with their fundraising activities beyond providing the Services.

8D. Emergency Suspension

The Order Buddy reserves the right to immediately suspend access to the Services, without prior notice, where continued use is reasonably believed to pose legal, financial, reputational, or operational risk.

8E. No Duty to Monitor

Nothing in these Terms creates an obligation for The Order Buddy to monitor, review, or investigate Events, organizations, products, or fundraising activities.

8F. Door-to-Door and In-Person Fundraising Activities

Some Events may involve door-to-door, in-person, or community-based sales activities conducted by participants, volunteers, or minors.

The Order Buddy does not organize, supervise, direct, or control any in-person fundraising activities and is not responsible for the safety, conduct, actions, or omissions of individuals participating in such activities.

Organizations are solely responsible for ensuring appropriate supervision, safety practices, training, permissions, insurance coverage, and compliance with all applicable local laws and ordinances governing solicitation or door-to-door sales.

To the fullest extent permitted by law, The Order Buddy disclaims all liability for personal injury, property damage, loss, or disputes arising from or related to in-person fundraising activities.

8G. Product Pickup and Distribution Activities

Events may involve in-person product pickup, distribution, or delivery activities, including pickups at schools, homes, community locations, or other designated sites.

The Order Buddy does not organize, supervise, host, or control product pickup or distribution activities and is not responsible for the location, setup, safety, staffing, or conduct of such activities.

Organizations are solely responsible for selecting appropriate locations, managing logistics, ensuring adequate supervision, maintaining safe conditions, and complying with all applicable laws, ordinances, and property requirements.

To the fullest extent permitted by law, The Order Buddy disclaims all liability for personal injury, property damage, loss, theft, or disputes arising from or related to product pickup, distribution, or delivery activities.

9. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9A. Service Availability, Outages, and Recordkeeping

While The Order Buddy strives to provide reliable and continuous access to the Services, uninterrupted or error-free operation is not guaranteed.

The Services may be temporarily unavailable due to maintenance, updates, system failures, third-party service disruptions, network issues, or events beyond our reasonable control.

Organizations are responsible for maintaining their own records and backups of fundraising activity, including orders, quantities, customer information, and pickup details, and should not rely on the Services as their sole system of record.

To the fullest extent permitted by law, The Order Buddy shall not be liable for any losses, damages, missed sales, operational disruptions, or disputes arising from service interruptions, data unavailability, or system outages.

The Services include reporting and data export features that allow organizations to periodically download and retain copies of Event data for their own records and backup purposes.

Organizations are responsible for determining the frequency, scope, and adequacy of any backups and for maintaining records outside of the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless The Order Buddy from any claims, losses, damages, liabilities, or expenses arising out of:

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
